Article 1 – Scope and Purpose

These General Terms and Conditions of Sale (hereinafter the “GTCS”) apply, without restriction or reservation, to all sales concluded by minimiil, a simplified joint-stock company (société par actions simplifiée) with a share capital of €1,233, registered with the Clermont-Ferrand Trade and Companies Register under number 980 957 385, whose registered office is located at 34 rue du Clos Four, 63100 Clermont-Ferrand, France (hereinafter the “Seller”), with non-professional purchasers (hereinafter the “Customer” or “Customers”) via the website accessible at www.minimiil.com (hereinafter the “Website”). These GTCS define the rights and obligations of the Parties in connection with the online sale of fresh food products marketed by the Seller (hereinafter the “Products”).

The Seller reserves the right to amend these GTCS at any time. The applicable GTCS are those in force on the date the Customer places an order on the Website. Customers are invited to carefully review the GTCS prior to each order. The GTCS are accessible at all times on the Website and prevail over any conflicting document.

Placing an order on the Website implies full, immediate, and unconditional acceptance of these GTCS by the Customer, who acknowledges having read them prior to confirming the order by ticking the relevant box. Such validation has the same legal value as a handwritten signature.

Article 2 – Products and Characteristics

2.1 General Description of the Products

The Products offered for sale on the Website currently consist primarily of fresh food products made from natural, plant-based ingredients, notably in the form of nutritional shot packs designed for wellness programs or occasional daily consumption.

These Products are subject to strict cold storage requirements in accordance with applicable health regulations. The Seller reserves the right to modify its product range and may, in the future, offer other types of food products, including non-refrigerated items, in line with its mission focused on nutrition and well-being.

2.2 Product Information and Characteristics

The main characteristics of the Products are detailed in the product descriptions available on the Website, including:

  • Composition and ingredients

  • Nutritional values

  • Use-by date

  • Storage conditions (including temperature requirements)

  • Any allergens present

The Customer is required to carefully review this information prior to placing an order and ensure that the Product is compatible with their needs, dietary requirements, and any allergies.

2.3 Illustrations and Visuals

Photographs, images, and illustrations on the Website are provided for indicative purposes only. While the Seller makes every effort to ensure accurate representation of the Products, slight visual differences may occur, particularly due to the plant-based nature of ingredients.

Such elements are non-contractual and shall not engage the Seller’s liability.

2.4 Compliance and Food Safety

The Products comply with applicable French and European food regulations. They are manufactured, packaged, stored, and transported under strict hygiene and safety standards in accordance with current regulations.

2.5 Product Availability

Products are offered for sale subject to availability. Availability is indicated at the time of ordering.

In the event that a Product becomes unavailable after order confirmation, the Seller shall inform the Customer as soon as possible. The Customer may then choose to:

  • Wait for restocking

  • Accept an equivalent Product

  • Cancel all or part of the order

Any refund for unavailable Products shall be made within a maximum of fourteen (14) days following cancellation.

2.6 Restrictions

Products are marketed exclusively in mainland France, unless otherwise stated on the Website. They are intended for personal, non-professional use only.

Any suspicious or unusually large order may be refused or reclassified as a business-to-business (B2B) transaction at the Seller’s discretion.

Article 3 – Orders

3.1 Customer Legal Capacity

To place an order, the Customer must be legally competent, i.e., of legal age and not subject to guardianship or similar legal protection. Orders must be placed in a personal capacity as a consumer and not for professional purposes.

The Seller reserves the right to refuse any order that does not comply with these conditions.

3.2 One-Time Orders

Customers may purchase Products individually without commitment.

The ordering process includes:

  • Product Selection: choosing Products and quantities

  • Cart Review: summary including Product description, unit price (incl. VAT), quantities, total price (incl. VAT), and delivery fees

  • Billing and Delivery Details: Customer is responsible for accuracy

  • Delivery Method Selection

  • Order Confirmation: acceptance of GTCS and secure payment

The sale becomes final upon receipt of the confirmation email.

3.3 Subscription Orders

Customers may subscribe to receive Products at regular intervals (weekly, bi-weekly, or monthly depending on available options).

The process includes:

  • Subscription selection

  • Account creation (mandatory)

  • Order validation and GTCS acceptance

  • Automatic recurring payment

  • Confirmation emails for initial order and each shipment

Subscriptions are non-binding and may be cancelled at any time unless otherwise specified. However, any delivery cycle already initiated remains payable.

Modifications, suspensions, or cancellations must be made at least 48 hours before the next scheduled charge.

3.4 Customer Information Management

Customers are responsible for keeping their billing, delivery, and payment information up to date.

3.5 Order Modification or Cancellation

Customers must contact hello@minimiil.com promptly in case of errors. Once preparation has begun, modifications cannot be guaranteed.

3.6 Refusal of Orders

The Seller may refuse an order in case of:

  • Previous payment disputes

  • Fraud suspicion

  • Abuse of subscription service

  • Incomplete or inaccurate information

3.7 Archiving and Proof

Orders are archived on reliable and durable media. Electronic communications shall constitute valid proof between the Parties.

Article 4 – Pricing

Prices are indicated in euros (€), including all applicable taxes (VAT).

Delivery fees are specified before final order validation.

In case of subscription, price changes will be notified at least 7 days prior to implementation.

Invoices are available in the Customer account or upon request.

Article 5 – Payment Terms

Payment may be made by credit card (Visa, Mastercard, American Express) or any other method offered at checkout via secure payment platforms.

Payment is charged upon order confirmation, subject to authorization.

For subscriptions, payment is automatically charged at each billing cycle.

In the event of payment failure, the order may be cancelled or the subscription suspended.

Transactions are processed by authorized payment providers. The Seller does not have access to full banking details.

Article 6 – Delivery

Products are delivered within mainland France unless otherwise stated. Products are delivered exclusively within mainland metropolitan France. Due to cold-chain constraints, deliveries to Corsica, the French overseas departments and regions (DROM), and the French overseas collectivities (COM) are not currently available. This limitation is solely due to the technical impossibility of guaranteeing proper cold-chain conditions for these territories.

Delivery timeframes (typically 24–72 business hours after shipment confirmation) are indicative.

Free delivery currently applies to orders of a 20-shot pack (€54.90 incl. VAT), subject to change.

Customers must inspect parcels upon delivery and report visible issues within 24 hours to hello@minimiil.com.

Risk transfers upon physical receipt of the Products.

Article 7 – Right of Withdrawal

Under French Consumer Code Articles L221-18 et seq., customers generally have fourteen (14) days to withdraw.

However, pursuant to Article L221-28, this right does not apply to:

  • Perishable food items

  • Products unsealed after delivery

Therefore, no withdrawal right applies to fresh food Products after delivery, except in cases of non-conformity or hidden defects.

Article 8 – Legal Guarantees

Customers benefit from:

  • Legal guarantee of conformity

  • Guarantee against hidden defects

Refund or replacement may be requested if legally justified.

Article 9 – Liability

The Seller shall not be liable for:

  • Customer fault (incorrect address, improper storage)

  • Force majeure

  • Indirect damages

  • Transport-related delays

Liability is strictly limited to the amount of the order concerned.

Article 10 – Website and Customer Account

Customers must create an account to order.

Credentials are personal and confidential.

Improper use of the Website may result in account suspension.

Article 11 – Personal Data

Article 12 – Intellectual Property

All Website content is the exclusive property of the Seller.

Any unauthorized reproduction is prohibited.

Article 13 – Mediation

Customers may refer disputes to:

Article 14 – Governing Law and Jurisdiction

These GTCS are governed by French law.

In the absence of amicable resolution, French courts shall have exclusive jurisdiction.
